End-User License Agreement for Center of Knowledge Website

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, referred to as "You" or "User") and Center of Knowledge (CoK), a 509(a)(2) non-profit organization based in Manassas, Virginia ("Licensor," "We," "Us," or "CoK"), for the use of the website located at https://www.CoKCharity.org (the "Website"), including all content, features, resources, materials, and any associated services or downloadable elements (collectively, the "Licensed Materials").

By accessing, browsing, or using the Website, You indicate that You have read, understood, and agree to be bound by the terms of this EULA. If You do not agree, do not access or use the Website.

1. Grant of License

CoK grants You a revocable, non-exclusive, non-transferable, limited license to access and use the Licensed Materials solely for Your personal, non-commercial purposes related to personal growth, education, and community success, strictly in accordance with this EULA. This license is provided to support CoK's mission of delivering educational resources and training through programs such as CoK Academy, CoKversations, and CoK Socials.

You may view, download, or print limited portions of the Licensed Materials for personal use only, provided You retain all copyright and other proprietary notices.

2. Restrictions

You agree not to, and You will not permit others to:

Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Licensed Materials.
Copy, distribute, sell, lease, transfer, or sublicense the Licensed Materials (except as expressly permitted for personal use).
Remove, obscure, or alter any copyright, trademark, or other proprietary notices.
Use the Website for any unlawful purpose, or in violation of any applicable laws or regulations.
Interfere with or disrupt the Website or servers connected to it.
Upload or transmit any harmful code, viruses, or materials that infringe third-party rights.

3. Intellectual Property

All rights, title, and interest in the Licensed Materials, including but not limited to text, images, videos, graphics, logos, and software, are owned by CoK or its licensors. This EULA does not transfer any ownership rights to You. CoK reserves all rights not expressly granted.

4. User Content

If You submit, post, or upload any content to the Website (e.g., comments, feedback, or contributions to discussions), You grant CoK a worldwide, perpetual, royalty-free, irrevocable, non-exclusive license to use, reproduce, modify, distribute, and display such content in connection with CoK's mission and programs.

You represent that Your content does not infringe any third-party rights and complies with this EULA.

5. No Warranties

The Licensed Materials are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement. CoK does not warrant that the Website will be uninterrupted, error-free, or free of viruses.

6. Limitation of Liability

To the maximum extent permitted by law, CoK shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from Your use of the Website, even if advised of the possibility of such damages. As a non-profit organization, CoK's total liability shall not exceed $100.

7. Termination

This EULA is effective until terminated. CoK may terminate this license at any time without notice if You breach any term. Upon termination, You must cease all use of the Licensed Materials and destroy any copies.

8. Governing Law

This EULA shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of laws principles. Any disputes shall be resolved in the courts of Prince William County, Virginia.

9. Miscellaneous

This EULA constitutes the entire agreement between You and CoK regarding the Website. CoK may update this EULA at any time by posting changes on the Website; continued use constitutes acceptance. If any provision is held invalid, the remainder shall continue in full force.
